Access to and use of the Website implies acceptance of the Terms of Use. The Terms of Use that apply are those in force when the User connects to the Website. GEODIS is free to modify all or part of the Terms of Use at any time, involving any additions, modifications or deletions. These changes are supposed to have been brought to the attention of Users by simply putting them online. Nevertheless, in the event of a modification of the Terms of Use deemed substantial by the person responsible for the publication, the latter will notify the User by e-mail of said changes. In any case, once online, the conditions of use are deemed to have been accepted without reservation by the User because of his access to the Website. Consequently, the User is invited to refer to each of his connections to the Terms of Use in order to be aware of the latest online version.
The main purpose of the Website is to provide Users with access to theGeodis API port.
To access and use the Site, it is necessary to accept and comply with these General Terms and Conditions of Use. The General Terms and Conditions of Use apply, where applicable, to any declination or extension of the Site on current or future social and/or community networks. Navigation on the Website is optimized for the following configuration: Microsoft Internet Explorer version 8 or later, or any other browser of the same generation. Display resolution: 1280 x 768 To access certain APIs, prior registration of Users is required. The creation of a User account is also necessary to access and use the GEODIS APIs. The User account allows Users to integrate GEODIS APIs into their own sites and applications. You will need to provide specific information when applying for registration. The User warrants and undertakes that the registration information transmitted to GEODIS is always accurate, complete and regularly updated. In the event of non-compliance with this obligation, the registration will be considered invalid, and GEODIS reserves the right to suspend, temporarily or permanently, access to the API(s) concerned by taking all measures it deems necessary. The User chooses a username and password that will allow him to access his User Account and the Site https://xxx.fr. GEODIS reserves the right to modify, suspend, restrict or discontinue access to all or part of the Website, including access to its content without prior notice. Any equipment used by the User to connect to the Website must comply at all times with the laws and regulations in force when connecting. In the event of interruption of the Website, due to a User's equipment, he must immediately disconnect said equipment. In addition, any User of the Website connects through recent equipment equipped with an anti-virus system, as well as a latest-generation Internet browser. The Website, as well as all its constituent elements (including without limitation know-how, trademarks, trade secrets, texts, presentations, tutorials, videos, photographs, downloadable documents, logos or others) and related materials are protected by intellectual property rights (including, without limitation, copyright, sui generis right of the producer of the database, domain names, trademarks, logos or others) as well as the neighboring rights of GEODIS and/or publishers who have granted operating licenses to GEODIS. Except with the prior written consent of GEODIS, the User will not exploit or modify, reproduce, share, edit, translate, adapt, download or publish all or part of the Website and or its constituent elements, in any form whatsoever, from any media whatsoever and for any reason whatsoever (commercial, promotional or other) Failure to comply with these obligations may constitute an act of counterfeiting and/or an act of unfair competition or parasitism that may result in civil or criminal action against the User.
GEODIS will take all necessary administrative, organizational and technical measures as required by legislation and good market practices for the protection and security of your personal data. All details relating to the use of your data are specified in the Privacy Policy. GEODIS will not disclose your data, except legal obligation or written permission from you and will not transmit your data and undertakes not to communicate it to third parties.. You acknowledge that you are aware that the Website is hosted by XXX ("the host"). We do not guarantee that this hosting service will be uninterrupted, completely secure or error-free. The Site can be used free of charge. The Services available on the Site via APIs may be offered free of charge or for a fee, as the case may be. The consumption of the Services may be limited or unlimited, within the limits of the technical capabilities of the infrastructures hosting the APIs. Users must refer to the Special Conditions specific to each API for applicable rates and limits. Where pricing is in effect for the Subscribed Services, the API provider entity will issue an invoice for each Service.
An API provider can change the pricing and limits of its offering. In this case, the API provider undertakes to inform each API Consumer User of the new conditions at least one month before their entry into force. The API Consumer User then has the possibility to terminate his subscription without charge or compensation within four months of notification of the draft modification, if he does not accept these new conditions.
These notification provisions concerning changes do not apply when the envisaged changes are exclusively beneficial to the API Consumer User, are of a purely administrative nature and have no negative impact on the User, or result directly from the legislation in force.
It is the User's responsibility to take all appropriate measures to protect his own data, computer systems and/or software against any contamination by possible viruses. Users who identify themselves on the Website are responsible for all use of their account, including their username, password and email address. It is the User's responsibility to guarantee the confidentiality of his username and password, and to ensure the security of access to his User Account.
The User undertakes to immediately inform GEODIS in the event of suspicion of fraudulent use of his computer, username or password by an unauthorized third party at the following address: dpo@geodis.com. Under no circumstances can GEODIS be held liable for damages resulting from a failure by the User in this regard. GEODIS reserves the right to deactivate the username or password, whether chosen by the User or allocated by GEODIS, at any time if GEODIS legitimately considers that the User has not complied with the provisions of the Terms of Use.
Despite GEODIS ' efforts to deploy and maintain the Website, errors, inaccuracies or omissions may always remain.As a result, GEODIS does not guarantee the absence of errors on the Website, the absence of viruses on the platform, the correction oferrors and defects.

In case of malfunction of the APIs, (absence, delay or inaccuracy etc.), GEODIS cannot be held liable. GEODIS makes no commitment regarding the use of theAPI, which remains the sole responsibility of the User. In particular, it is the User's responsibility to verify that the services correspond to his expectations and requirements, particularly in terms of use and security. APIsare provided "as is", so GEODIS does not warrant that: (i) the APIs meet the specific needs of the User, (ii) the use of an API will not be interrupted, blocked, or delayed (iii) the results obtained will be accurate, reliable, accurate or error-free, (iv) API errors will be corrected
The delay in exercising a right provided for by these Terms, or the decision not to exercise it, or the choice not to invoke a breach of an obligation, on the part of one of the parties, will not be considered as a waiver of this right or obligation, whether for past or future facts. If one or more stipulations of these T&Cs are held to be null and void, or declared as such by a court decision that has become final, the other stipulations will retain their force and scope.
It is expressly agreed between the parties that the User acts in his own name and on his own behalf when performing his obligations in accordance with the provisions of the GTCU. These T&Cs shall in no way be interpreted as establishing a company by law or de facto, an agent or mandatary relationship, or an employment contract between the parties. The Terms of Use are subject to French law. These Terms of Use constitute the entire agreement between GEODIS and the User. They supersede any prior or existing agreements, written or oral, relating to the same subject matter, and prevail in the event of conflicts with other terms. The Terms of Use are established in several languages. In case of conflict of interpretation, the French version prevails. In the event of a dispute regarding the validity, interpretation and/or application of the Terms of Use, GEODIS and the User agree to meet to seek an amicable solution to their dispute. In the event that the parties fail to reach an amicable agreement, any action concerning the interpretation, validity and/or application of the Terms of Use will be subject to the jurisdiction of the courts of Paris, including in the case of multiple claimants or action by a third party to obtain an emergency or precautionary measure.
